This toolkit helps organizations understand what governance is in an outsourcing deal and facilitates the design process of the governance structure for a Buyer’s organization. It also provides sample documents that can be leveraged as the starting point to implement a governance model.
The scope of the toolkit encompasses governance design, governance job descriptions, and governance process maps and draws out a sample contract. However, this toolkit is not a one-size-fits-all solution and will require a varying degree of customization based upon the user’s specific needs. In addition, it is not a replacement for having experienced resources involved in the complicated design and implementation of governance roles and processes.
Governance design document details the governance framework and base model design. It lays out key governance model principals and elements. The document further recommends a generic framework for governance. This includes buyer internal governance as well as joint governance. Some of the best practices and challenges are also listed down along with special considerations required to accommodate varying degrees of complexity in and outsourcing arrangement.
The governance job descriptions document provides a sample of job descriptions for a complex IT infrastructure deal. Governance process maps comprise various processes & sub-processes involved in benchmarking, contractual administration, financial management, relationship management, risk management, service quality assessment, strategy, and planning. The toolkit also contains a sample Statement of Work for governance engagements that addresses buyer’s business objectives as well as facilitates an effective and efficient working relationship between the buyer and the supplier.
