Introduction

The tools and templates in the Due Diligence toolkit serve as excellent starting points to quickly and effectively plan, organize, and prepare the buyer’s internal resources for Due Diligence on the supplier of outsourcing services.

Scope

This toolkit is not a one-size-fits-all solution and will require a varying degree of customization based upon the user’s specific needs. In addition, it is not a replacement for having experienced resources involved in the Due Diligence process.

In most instances, a supplier will need to conduct a Due Diligence on the Buyer’s in scope functions prior to submit the Best and Final Offer (BAFO) pricing. This toolkit does not address the supplier’s Due Diligence process.

The reference call guidelines document lays out the framework to complete reference calls with suppliers’ other clients (i.e. reference clients).

The Supplier reference check template serves as a template for constructing supplier evaluation surveys. This document is a repository of sample supplier reference questions. It is too lengthy for an hour’s reference call.

Executive reference call questions document contains reference call questions more appropriate for an executive reference call.

Offshore site visit guidelines provide the objective and agenda for a supplier site visit. An evaluation framework for the offshore visit is also included.

Supplier site visit evaluation template provides a comprehensive evaluation framework to compare visits to multiple supplier facilities.

Facility due diligence check sheet provides a set of general evaluation criteria for assessing the quality and effectiveness of the vendor’s facility and the associated staff.

Supplier financials and management due diligence document provides a list of questions to ask the supplier regarding their financials, business conditions, and management team.
