Introduction

This Master Services Agreement document is designed to provide the buyers of outsourcing contracts a standard set of commonly used terms and conditions.  The documents can be used as a guideline for legal documents.  The document itself is not a legal document and will require customization to address each buyer’s specific needs.

Scope

The template is broken into multiple articles that address the major areas of responsibilities of the Buyer and the Supplier.  To assist in expediting negotiations, certain provisions in this Agreement have been highlighted. The provisions that are not highlighted generally are standard terms accepted with little or no negotiation. The terms that are highlighted in yellow are terms that frequently are negotiated. The provisions highlighted in blue are usually customized depending on the nature of the services. The provisions highlighted in green are often adjusted as to amounts. The highlighting color key is as follows: Negotiate (yellow); Custom (blue); Adjust (green).

Contents

The Master Service Agreement is an 83 page word document which contains 20 articles each containing multiple subsections. Depending on the specific deal scope and type some articles and/or subsection will not be applicable. In other situations the article and/or subsections may need additional content and clarification to address specific issues (e.g., geography, audit, government).
